Terms and Conditions

Effective Date: May 19, 2026

These Terms and Conditions ("Terms") govern all services provided by MXDI Builder Company ("MXDI," "we," "us," or "our") to clients ("you" or "Client"). By requesting an estimate, signing a contract, or hiring MXDI Builder Company, you agree to the following Terms.

2. Scope of Services

MXDI Builder Company provides residential new construction, remodeling, and general building contractor services within the San Francisco Bay Area. The specific scope, materials, schedule, and price for each project will be defined in a written contract signed by both parties prior to the start of work. These Terms apply in addition to any signed project contract; if there is a conflict, the signed project contract controls.

3. Estimates and Proposals

Estimates are provided free of charge within our standard service area. All estimates are valid for thirty (30) days from the date of issuance unless otherwise stated in writing. Estimates are based on visible conditions and the information available at the time of inspection. Concealed conditions, hazardous materials, or unforeseen circumstances discovered during construction may require a written change order and additional cost.

4. Contracts, Deposits, and Payments

Work begins only after a written contract is signed by both parties and the required deposit is received. All home improvement projects exceeding $500 will be documented in a written contract that complies with California Business & Professions Code §7159, including all required notices, disclosures, and the Three-Day Right to Cancel.

Down Payment: In compliance with California Business & Professions Code §7159.5, the down payment for any home improvement project will not exceed $1,000 or 10% of the contract price, whichever is less.

Progress Payments: Payments are scheduled per the signed contract and tied to defined milestones. No payment will be requested for work not yet completed or materials not yet delivered, as required by California law.

Final Payment: The final balance is due upon substantial completion of the work and a final walkthrough.

Accepted Payment Methods: Check, ACH/bank transfer, Zelle, or credit card. Credit card payments are subject to a 3% processing fee.

Late Payments: Invoices not paid within ten (10) days of the due date may be subject to a 1.5% monthly finance charge (18% APR) on the outstanding balance, to the maximum extent permitted by law.

5. Change Orders

Any change to the agreed scope of work, materials, or schedule must be documented in a written change order signed by both parties before the additional work begins, as required by California law. Change orders will include a description of the change, any additional cost, and any schedule impact. Verbal requests are not binding.

6. Allowances and Materials

Where the contract includes allowances (for fixtures, finishes, or appliances), the Client is responsible for any cost above the allowance amount. Substitutions of equal or lower cost will be credited to the Client. Materials selected by the Client are subject to manufacturer availability and lead times.

7. Scheduling and Delays

Standard work hours are Monday through Friday, 7:30 AM to 4:30 PM, excluding holidays. Start dates and completion dates are estimates and may be affected by weather, permits, inspections, material availability, Client decisions, change orders, or other events outside our control. MXDI will use commercially reasonable efforts to maintain the schedule and communicate any material delays.

8. Permits and Inspections

Unless otherwise stated in the contract, MXDI will obtain the building permits required for the work. Permit fees are typically passed through to the Client at cost. The Client agrees to provide reasonable access to the property for permitted work and required inspections.

9. Client Responsibilities

The Client agrees to:

• Provide safe and reasonable access to the work site during scheduled work hours.• Disclose known conditions affecting the work, including hazardous materials, easements, HOA rules, and utility locations.• Make timely selections and decisions to keep the project on schedule.• Keep children, pets, and other non-workers clear of active work areas.• Make payments promptly per the contract schedule.

10. Warranty

MXDI Builder Company warrants its workmanship to be free from defects for a period of one (1) year from the date of substantial completion. Manufacturer warranties on materials, appliances, and fixtures apply per the manufacturer and are passed through to the Client. This warranty does not cover:

• Normal wear and tear, settling, or shrinkage typical of new construction.• Damage caused by misuse, neglect, accident, abuse, or modifications by others.• Damage caused by acts of nature, including earthquakes, fires, floods, or storms.• Work performed by the Client or third parties not engaged by MXDI.

Warranty claims must be submitted in writing to info@mxdibuilder.com during the warranty period. Nothing in this section limits any non-waivable statutory rights you may have under California law, including the implied warranty applicable to new residential construction.

11. Cancellation Rights

Three-Day Right to Cancel: Under California Business & Professions Code §7159, you, the Client, have the right to cancel this contract within three (3) business days of signing, without penalty or obligation, for contracts signed at your home or away from the contractor's place of business. To cancel, deliver written notice to MXDI Builder Company at info@mxdibuilder.com or by mail before midnight of the third business day after signing. Senior citizens (65 or older) may have additional cancellation rights under California law.

Cancellation After Work Begins: If you cancel after the three-day period and work has begun, you remain responsible for the value of labor performed, materials ordered or installed, and any non-refundable subcontractor or supplier costs incurred up to the date of cancellation.

12. Mechanics' Lien Notice

Under California law, anyone who helps improve your property — but is not paid — may record a mechanics' lien against your property. A mechanics' lien is a claim made against your property and recorded with the county, and may result in a forced sale. MXDI Builder Company will provide all required preliminary notices and lien releases as work progresses and payments are made. You can protect yourself by requesting a list of subcontractors and suppliers, paying attention to any preliminary notices received, and using joint checks where appropriate. 13. Insurance

MXDI Builder Company is licensed and bonded as required by the California Contractors State License Board. Proof of insurance and bonding is available upon written request. MXDI is not responsible for damage to property arising from pre-existing conditions, conditions outside our scope of work, or work performed by others.

14. Site Conditions and Cleanup

MXDI will take reasonable steps to keep the work site clean and safe during the project, including daily cleanup of work areas and final removal of construction debris at project completion. The Client agrees that some dust, noise, and disruption are normal aspects of construction work.

15. Photographs and Marketing

Unless the Client provides written notice otherwise, MXDI may take and use "before," "during," and "after" photos of the project (excluding identifying information about the Client or address) for marketing, portfolio, and social media purposes. To opt out, notify us in writing before work begins.

16. Dispute Resolution

The parties agree to first attempt to resolve any dispute informally, in good faith, through direct communication. If a dispute cannot be resolved informally, the parties agree to attempt mediation in Contra Costa County, California, before initiating any legal action. These Terms are governed by the laws of the State of California.

17. CSLB Notice

Contractors are required by law to be licensed and regulated by the Contractors State License Board, which has jurisdiction to investigate complaints against contractors if a complaint is filed within four years of the date of the alleged violation. 18. Limitation of Liability

To the maximum extent permitted by California law, MXDI Builder Company's total liability for any claim arising out of or related to the services provided shall not exceed the total amount paid by the Client under the applicable contract. MXDI is not liable for indirect, incidental, consequential, or punitive damages. Nothing in this section limits liability that cannot be limited under California law, including liability for gross negligence or willful misconduct.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Updates to These Terms

MXDI Builder Company may update these Terms from time to time. The version in effect on the date your contract is signed governs that contract. The most current version will be available on our website or upon request.
